1. Acceptance of terms

By accessing or using SoulHoster ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of service

SoulHoster provides a managed hosting platform for AI agents, including tenant management, API key provisioning, usage tracking, and related infrastructure services. The Service is provided on an "as is" basis and may be modified or discontinued at any time.

3. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

4. Your responsibilities

You are responsible for all activity that occurs under your account. You agree not to:

• Use the Service for unlawful purposes or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to the Service or its related systems
• Transmit malicious code, viruses, or any other harmful content via the Service
• Interfere with or disrupt the integrity or performance of the Service
• Resell or sub-license the Service without prior written consent

5. API keys and credentials

You are responsible for maintaining the confidentiality of your API keys and access credentials. You must notify us immediately of any unauthorized use of your account or credentials. SoulHoster is not liable for losses arising from unauthorized use of your credentials.

6. Third-party AI services

The Service integrates with third-party AI model providers. Your use of those providers is subject to their own terms of service. If you supply your own API key ("BYOK"), you are solely responsible for compliance with that provider's terms and for all costs incurred.

7. Intellectual property

All content, software, and technology comprising the Service is the property of SoulHoster and is protected by applicable intellectual property laws. You retain ownership of any content you submit through the Service, but grant SoulHoster a limited licence to process that content as necessary to provide the Service.

8. Limitation of liability

To the maximum extent permitted by law, SoulHoster and its affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if advised of the possibility of such damages. Our total liability to you for any claim arising from these terms shall not exceed the amounts you paid us in the preceding 12 months.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these terms that by their nature should survive termination will continue to apply.

10. Changes to terms

We reserve the right to modify these terms at any time. We will provide notice of material changes by updating the "Last updated" date above. Continued use of the Service after changes constitutes your acceptance of the revised terms.

11. Governing law

These terms are governed by and construed in accordance with applicable law. Any disputes arising from these terms shall be resolved through binding arbitration or, where arbitration is not permitted, in the courts of competent jurisdiction.
